In these Terms of Service, the following terms have the meanings described below.
“Account” means the account, credentials, and related information used by a User to access purchased or restricted Services.
“Company,” “Mental Mike,” “we,” “us,” or “our” means Mental Mike LLC, an Iowa Limited Liability Company located at P.O. Box 106, Audubon, Iowa 50025.
“Content” means text, graphics, images, audio, video, music, stories, characters, workbooks, exercises, assessments, quizzes, educational frameworks, course materials, facilitator materials, downloadable resources, software, data compilations, and other information or materials appearing on or provided through the Website or Services.
“Payment Information” means information necessary to process purchases through the payment methods and third-party payment processors made available through our Services.
“Services” means educational, psychoeducational, training, informational, and related products and services offered by Mental Mike LLC now or in the future. These may include online courses and programs, professional education, facilitator resources, videos, workbooks, assessments, downloadable resources, community features, media, live or recorded educational events, and other related offerings.
“User” or “Users” means any person or entity accessing the Website or Services who is not acting as an employee of Mental Mike LLC.
“Website” means MentalMike.org, associated subdomains, and Mental Mike pages or storefronts hosted through third-party platforms unless expressly governed by separate terms.
These Terms govern your access to and use of the Website and Services offered by Mental Mike LLC.
By accessing, purchasing, enrolling in, or using our Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you should not purchase, access, or use the Services.
A purchase constitutes an offer to obtain the applicable Service under the terms and pricing presented at the time of purchase. Acceptance occurs when you confirm the purchase, and we provide access to the applicable Service.
We may revise these Terms from time to time. Material revisions will be identified by an updated effective date. Changes will apply prospectively except where applicable law requires otherwise.
Mental Mike LLC develops and provides educational and psychoeducational programs and resources concerning subjects that may include:
recovery and personal development;
domestic violence, interpersonal abuse, and coercive control;
victim and survivor education;
accountability and behavior change;
substance use and recovery;
relationships and human behavior;
mental health and behavioral health education;
professional and facilitator education;
crisis, public safety, and related educational subjects; and
other areas of human change, recovery, and professional development.
Programs may be designed for different populations, including victims and survivors, individuals seeking accountability or behavior change, people affected by substance use, facilitators, professionals, organizations, and other audiences.
Individual Services may have additional eligibility requirements, participation agreements, safety information, disclaimers, or terms. When additional product-specific terms are presented, those terms apply to that Service in addition to these Terms.
Descriptions, curricula, features, duration, delivery methods, and availability may vary by Service.
Unless expressly stated otherwise, Mental Mike programs, courses, materials, and Services are educational and psychoeducational in nature.
They do not constitute psychotherapy, psychological treatment, medical or psychiatric treatment, substance use disorder treatment, crisis intervention, legal advice, individualized safety planning, or other individualized professional services.
Purchasing or participating in a Service does not create a physician-patient, therapist-client, counselor-client, attorney-client, or other licensed professional relationship with Mental Mike LLC, Michael Pozesny, a facilitator, instructor, or contributor.
Information presented through the Services is intended to increase understanding and provide educational tools. It cannot account for every participant's individual circumstances.
Users remain responsible for determining whether and how information applies to their circumstances and for obtaining appropriate individualized professional assistance when needed.
Some Mental Mike Services address domestic violence, interpersonal abuse, coercive control, victimization, accountability, safety, and other potentially serious circumstances.
Educational materials cannot determine whether a particular relationship or behavior meets a legal, clinical, or diagnostic definition. They do not replace individualized safety planning or assistance from qualified domestic-violence professionals, attorneys, healthcare professionals, law enforcement, or other appropriate resources.
If you believe you or another person is in immediate danger, contact emergency services or an appropriate local emergency resource.
Mental Mike LLC does not provide emergency or crisis services through its courses, Website, email, community features, or other educational Services.
If you are experiencing an immediate medical or psychiatric emergency or believe that you or another person is in imminent danger, contact emergency services or an appropriate crisis resource.
Participation does not guarantee recovery, relationship change, behavioral change, sobriety, safety, improved mental health, reconciliation, separation, professional advancement, or any other particular result.
Individual outcomes depend on numerous circumstances outside Mental Mike LLC's control.
Unless a particular Service expressly states otherwise, Users must:
a. be at least 18 years old and have reached the age of majority applicable to them;
b. have legal capacity to enter into a binding agreement;
c. not be prohibited by applicable law from using the Services; and
d. provide accurate registration and purchase information.
Mental Mike LLC may establish additional eligibility criteria for individual programs or professional offerings.
Certain Services require an Account.
You agree to provide accurate information, maintain the confidentiality of your login credentials, and take reasonable steps to prevent unauthorized access.
Accounts and course access are intended for the registered purchaser or authorized participant and may not be shared.
You are responsible for activity occurring through your Account resulting from your failure to protect your credentials.
If you believe your Account has been compromised, contact Mental Mike LLC promptly.
We may suspend or terminate access when reasonably necessary to address unauthorized use, fraud, security concerns, material violations of these Terms, or misuse of our Services.
Prices are stated in U.S. dollars unless otherwise indicated.
The applicable price, payment structure, and included features are those displayed at the time of purchase.
Mental Mike LLC may change prices, promotions, or product offerings prospectively. Changes do not alter the price of a completed purchase except where expressly agreed by the purchaser or required by law.
When a Service is offered for a one-time payment, the amount displayed at checkout is due at purchase unless otherwise stated.
Some Services may be offered through a fixed installment payment plan.
An installment plan is a commitment to pay the stated purchase price according to the installment schedule disclosed at checkout. It is not a month-to-month subscription that may be canceled merely by discontinuing participation, unless the offer expressly states otherwise.
By selecting an installment plan, you authorize the applicable payment processor to charge the payment method provided according to the disclosed schedule.
Failure to complete required installment payments may result in suspension or termination of access, subject to applicable law and the terms presented at purchase.
If Mental Mike LLC offers a recurring subscription, membership, or other automatically renewing Service, the renewal frequency, price, cancellation terms, and other material conditions will be disclosed before purchase.
Subscriptions are distinct from fixed installment payment plans.
Payments may be processed by third-party platforms and payment processors such as Podia, Stripe, PayPal, or other providers.
Those providers may impose separate terms and privacy practices governing their services. Mental Mike LLC does not directly control third-party payment systems and generally does not receive or store complete payment-card credentials processed by those providers.
Unless different terms are clearly disclosed for a particular Service, course purchases may be eligible for a refund requested within fourteen (14) calendar days after purchase if less than 25% of the applicable course content has been accessed.
Refund eligibility for coaching, live events, subscriptions, professional programs, organizational licenses, or other Services may be governed by additional terms disclosed at purchase.

Nothing in this policy limits non-waivable consumer rights provided by applicable law.
Users may have statutory cancellation, refund, disclosure, or other consumer rights based on their jurisdiction.
Nothing in these Terms is intended to waive rights that cannot lawfully be waived.
Where mandatory consumer-protection law conflicts with these Terms, the mandatory law controls to the extent of the conflict.
Unless otherwise identified, Content created or supplied by Mental Mike LLC is owned by Mental Mike LLC or used under appropriate license and is protected by applicable intellectual-property law.
This includes, as applicable, Mental Mike curricula, frameworks, program structures, workbooks, videos, presentations, exercises, assessments, knowledge checks, stories and characters, facilitator materials, professional training materials, original music and media, graphics, written materials, and other proprietary resources.
This includes materials associated with Mental Mike, GROUNDWORK, the Unified Flux Model, and current or future Mental Mike programs and product lines.
Unless a Service expressly grants broader rights, purchasing or accessing Content grants you a limited, non-exclusive, non-transferable, revocable license to use that Content for your own personal, noncommercial educational purposes.
Purchase does not transfer ownership of the Content or its intellectual-property rights.
Without prior written authorization, Users may not:
a. reproduce, republish, distribute, sell, sublicense, or commercially exploit Content;
b. share course access or login credentials;
c. upload Mental Mike Content to file-sharing, course-sharing, artificial-intelligence training, content-generation, or other third-party systems for redistribution or commercial exploitation;
d. record, download, scrape, capture, or systematically extract audio, video, text, or other materials except where downloading is expressly provided or permitted;
e. create substantially derivative courses, training programs, facilitator materials, or commercial products from Mental Mike Content;
f. remove copyright, trademark, attribution, or proprietary notices; or
g. represent Mental Mike materials, programs, or frameworks as the User's own work.
Purchase of an individual course does not grant permission to teach, facilitate, reproduce, display, distribute, or deliver Mental Mike curriculum to clients, students, groups, employees, organizations, or other persons.
Those uses require a separate facilitator, organizational, professional, or licensing agreement when applicable.
Mental Mike, Mental Mike LLC, GROUNDWORK, Unified Flux Model, associated program names, logos, designs, and other source identifiers may constitute trademarks, service marks, or proprietary brand assets of Mental Mike LLC.
No license to use such marks is granted except as expressly authorized.
When a Service includes comments, forums, communities, groups, live sessions, or other interactive features, Users must conduct themselves appropriately.
Users may not use the Services to harass, threaten, stalk, abuse, intimidate, defame, exploit, discriminate against, or endanger another person; promote violence; distribute unlawful or infringing material; impersonate others; distribute spam or malware; attempt unauthorized access; or violate another participant's privacy.
Particularly in programs involving abuse, recovery, substance use, or other sensitive subjects, Users should not disclose another participant's personal experiences or identifying information outside the applicable group or community without permission.
Mental Mike LLC may moderate, restrict, remove, or terminate participation when reasonably necessary to protect Users, the integrity of the program, or the Services.
Participation in a community or discussion feature should not be understood as confidential psychotherapy, counseling, treatment, or privileged professional communication.
If Users voluntarily submit comments, assignments, surveys, messages, testimonials, community posts, or other materials, they retain ownership of their original content except for rights reasonably necessary for Mental Mike LLC to operate the applicable Service.
Mental Mike LLC will not publicly use a participant's personal story, name, image, or testimonial for marketing merely because it was submitted privately as part of a course.
Separate permission will be obtained where appropriate before identifiable participant material is used for promotional purposes.
User-submitted information is also subject to our Privacy Policy.
Our collection, use, retention, and protection of personal information are governed by the Mental Mike LLC Privacy Policy, which is incorporated into these Terms by reference.
Because some Services concern sensitive subjects, Users should carefully consider what personal information they voluntarily submit.
No Internet-based platform can guarantee absolute confidentiality or security.
Third-party platforms used to deliver Services may also process information under their own privacy policies and terms.
Mental Mike LLC may use or link to third-party services including hosting platforms, payment processors, video services, email systems, analytics providers, or other technology.
Use of those services may be subject to the third party's own terms and privacy policies.
A link to or integration with a third-party service does not necessarily constitute endorsement of all content, services, representations, or practices of that third party.
Mental Mike LLC is not responsible for third-party systems to the extent responsibility cannot reasonably be attributed to Mental Mike LLC.
Certain programs may provide a certificate when specified completion requirements are met.
Unless expressly stated otherwise, a Mental Mike certificate is a Certificate of Completion only.
It does not constitute professional certification, licensure, accreditation, academic credit, continuing-education credit, authorization to practice a profession, or qualification to provide Mental Mike programs to others.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MENTAL MIKE LLC MAKES NO GUARANTEE THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SUITABLE FOR EVERY USER, OR PRODUCE ANY PARTICULAR RESULT.
Educational information reflects the sources, professional judgment, and framework applicable to the material but should not be treated as individualized professional advice.
Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENTAL MIKE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTAL MIKE LLC'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO A SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY THE USER FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Nothing in these Terms limits liability where such limitation is prohibited by law.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Mental Mike LLC and its owners, officers, employees, contractors, and agents from third-party claims arising from your unlawful misuse of the Services, infringement of another person's rights, unauthorized redistribution or commercial exploitation of Content, or material violation of these Terms.
Mental Mike LLC may suspend or terminate access for material violations of these Terms, fraud, unauthorized sharing or redistribution, threats or harassment, security risks, nonpayment of amounts due, or other serious misuse of the Services.
Where reasonably practicable, Users will be given notice of the reason for suspension or termination.
Termination does not eliminate payment obligations already incurred under a fixed payment plan unless required by law or expressly agreed otherwise.
Provisions concerning intellectual property, payments owed, disclaimers, liability, and other provisions that by their nature should survive termination will remain effective.

Mental Mike LLC will make reasonable efforts to address technical problems under its control but does not guarantee uninterrupted availability of third-party platforms or Internet services.
These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise.
Before initiating formal proceedings, the parties are encouraged to attempt to resolve disputes informally in good faith by contacting Mental Mike LLC.
Subject to applicable law, disputes that cannot be resolved informally shall be brought in an appropriate state or federal court having jurisdiction in Iowa.
Mental Mike LLC may modify, update, discontinue, or replace Services as the business develops.
Material changes will not retroactively deprive purchasers of material rights already acquired except where necessary for legal, safety, security, or operational reasons.
We may revise these Terms prospectively by publishing an updated version and effective date.
These Terms, together with the Privacy Policy and any applicable product-specific terms, constitute the agreement between Mental Mike LLC and the User concerning the applicable Services.
If a provision is held invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
Failure to enforce a provision does not waive the right to enforce it later.
Users may not assign purchased personal access or rights under these Terms without written permission. Mental Mike LLC may assign its rights and obligations in connection with a lawful sale, restructuring, succession, or transfer of the business.
Mental Mike LLC is not responsible for delay or failure caused by circumstances beyond its reasonable control.
Nothing in these Terms creates rights for third parties except where applicable law provides otherwise.

BY PURCHASING, ACCESSING, OR USING MENTAL MIKE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM.
